Chapter 16 - Twenty-Four Hours

On Thursday morning Mercer Hospitality received formal notice from its lead bank.

Unless the company delivered a credible refinancing or asset-sale commitment by 5:00 P.M. Friday, the bank reserved the right to accelerate portions of its debt and sweep certain operating accounts under the loan agreement.

It did not guarantee collapse.

But it made collapse possible.

Northstar responded within forty minutes.

A new offer arrived.

Emergency financing.

Enough to satisfy the bank.

In exchange, Northstar would receive liens on Mercer House and two other flagship properties, board-observer rights, and warrants that could eventually convert into a significant equity position.

The offer expired Friday at 4:00 P.M.

Daniel read the proposal.

“They created the fire and showed up selling water.”

Robert nodded.

“Can we prove Northstar knew?”

“Not yet.”

“Then the board might take it.”

“They might have to.”

Daniel called Margaret.

“When is the meeting?”

“Tomorrow at noon.”

“I’ll be there.”

“You’re not chairman.”

“I’m still a director.”

She paused.

“Yes.”

“And a shareholder.”

“Yes.”

“And I’m not asking permission.”

Margaret sighed.

“I was hoping humility would make you less annoying.”

“Only slightly.”

For the first time in weeks, she laughed.

But the humor disappeared when prosecutors called.

They had executed search warrants on Jonathan’s home office and Vanessa’s separate apartment.

The second drive was not found.

They did find something else in Vanessa’s apartment.

A handwritten list.

Lily.

Maria.

Evelyn.

Rachel.

Denise.

Beside each name was a notation.

Lily — fear

Maria — money / family

Evelyn — trust litigation

Rachel — NDA

Denise — credibility

Daniel stared at the photograph of the list.

Vanessa had mapped people by weakness.

His name appeared at the bottom.

Daniel — guilt / rage / Claire

He felt no anger.

Only clarity.

Vanessa had never controlled Daniel by inventing weaknesses.

She had used weaknesses he refused to manage himself.

The district attorney authorized charges against Vanessa for attempted witness tampering related to Maria’s recorded payoff conversation, along with child-endangerment-related counts arising from the nursery incident.

But Vanessa was not home.

Her attorney claimed not to know where she was.

A warrant was issued.

Jonathan’s lawyer, sensing the danger, offered broader cooperation.

He admitted helping structure Blue Harbor.

He admitted his undisclosed Northstar investment.

He admitted editing the Harbor Point recording.

He still claimed Vanessa had conceived the plan to frame Daniel with the offshore account.

Prosecutors asked for proof.

Jonathan provided a password.

It opened an encrypted cloud folder.

Inside was correspondence between Jonathan and Vanessa stretching back four years.

One email made Robert swear.

Vanessa to Jonathan:

Claire made two copies. I got one after the funeral. The child may know where the other is.

Another:

D will never believe Maria over me if we force a choice quickly. He reacts before he thinks.

Daniel read that sentence standing completely still.

Maria was beside him.

He looked at her bruising, now faded yellow.

“She predicted exactly what I would do.”

Maria said, “Yes.”

“I became part of her plan.”

“Yes.”

He expected comfort.

Maria gave him truth.

It was better.

The encrypted folder contained evidence connecting Northstar to Jonathan’s conflict but not necessarily proving Northstar executives knew of the fraud.

Yet another document was more important.

A draft side letter.

Northstar would pay Vanessa $4 million if Mercer House was transferred into a special acquisition vehicle within eighteen months of financing.

She had personally profited if Daniel lost the property.

The final confrontation was no longer optional.

At noon Friday, the board would decide whether to sign the Northstar deal.

At two that afternoon, Robert received a call from Vanessa.

Directly.

He placed it on speaker with prosecutors listening.

Vanessa sounded calm.

“I want immunity.”

The prosecutor shook her head.

Robert said, “Not available.”

“I have the second drive.”

Everyone looked at one another.

Vanessa continued.

“It contains material your client wants.”

Daniel leaned toward the phone.

Robert stopped him with a hand.

“What material?”

“The original files proving Jonathan created the offshore account.”

Robert said, “Then surrender it.”

“I want a written agreement.”

“You’re a fugitive from a state arrest warrant.”

“I’m not a fugitive. I’m waiting for competent counsel.”

Robert glanced at the prosecutor.

“Where are you?”

Vanessa laughed softly.

“You taught him to wait before reacting, Robert. Very impressive.”

Daniel felt cold.

She continued.

“But he won’t wait tomorrow.”

“What happens tomorrow?”

“He watches the board give away Mercer House.”

Daniel finally spoke.

“No.”

Silence.

Vanessa had not expected his voice.

Then she said, “There you are.”

“Where is the drive?”

“Safe.”

“You threatened Lily for it.”

“I frightened her.”

“You planned to use my daughter to pressure me.”

“I planned to survive Claire’s obsession.”

Daniel closed his eyes.

“Claire was right.”

Vanessa’s voice sharpened.

“Claire was dying.”

“So you thought that made truth negotiable?”

“You ignored her too.”

The words landed.

Daniel answered, “Yes.”

Vanessa became silent.

He continued.

“I ignored her. I trusted Jonathan. I signed things I didn’t read. I hit Maria. I married you because I wanted grief to stop hurting.”

Nobody in the room moved.

Daniel said, “You can’t blackmail me with things I’m willing to admit.”

For the first time, Vanessa had no answer.

Daniel leaned closer.

“You built everything around my shame.”

He glanced toward Maria.

“I’m done hiding from it.”

Vanessa disconnected.

The prosecutor looked at Daniel.

“That may have been the most useful thing you’ve done.”

Robert nodded.

Daniel frowned.

“Why?”

“Because she stayed on the line long enough.”

The call had been routed through a court-authorized trace related to the warrant.

Detectives had a location.

Vanessa was inside a suite at the Mercer House hotel.

The very property the board would vote on the next day.

And she had chosen Jonathan’s old executive-access floor.
