Chapter 4 - The Black Envelope Opens

At eight the next morning, Richard Bennett entered Cole Industrial headquarters with four lawyers.

Olivia arrived alone.

Alexander Cole’s conference room overlooked the East River.

Ethan was not there.

That relieved Olivia.

It also disappointed her.

Alexander sat at one end beside Cole’s chief counsel, Marianne Holt, and aerospace division president Victor Lang.

Richard took the opposite end.

Martin sat beside him.

Nina Patel arrived last.

She would not look at Olivia.

Alexander opened the black-envelope memorandum.

“Let’s begin with debt.”

Richard smiled thinly.

“Stonebridge is a short-term bridge used for expansion.”

Marianne Holt spoke.

“Your board authorized twenty-five million dollars.”

“The facility had accordion capacity.”

“Subject to board approval.”

Richard’s smile disappeared.

“Our counsel interprets the resolution differently.”

“Your counsel is wrong.”

Richard turned toward Olivia.

“This is precisely why family disagreements should not be allowed to infect transaction diligence.”

Olivia stared at him.

“You forged my signature.”

Martin shifted.

Alexander looked at Marianne.

She slid the Stonebridge consent forward.

“Ms. Bennett, is this your signature?”

“It resembles mine.”

“Did you sign it?”

“No.”

Richard said, “Olivia approved electronically.”

Marianne looked at him.

“Then why does the witness attestation state she signed a paper document in Martin Voss’s presence?”

Silence.

Martin spoke.

“There may have been a clerical conversion.”

Alexander leaned back.

“A clerical conversion that invented a witness?”

Richard’s voice sharpened.

“We came here to discuss a transaction, not conduct a trial.”

Alexander’s response was calm.

“Before I invest two hundred twenty million dollars, I conduct whatever examination protects my shareholders.”

The meeting moved to B-417.

Victor Lang displayed two inspection records.

The first was raw data obtained from Meridian Certification Services.

REJECT.

The second was Bennett’s final certificate.

ACCEPTED AFTER REVALIDATION.

Olivia looked at Martin.

“What revalidation?”

Martin said, “A second ultrasonic inspection.”

“Where are the raw files?”

“Archived.”

Victor replied, “Your team has not produced them.”

“We are locating them.”

Alexander’s eyes narrowed.

“Eight hundred sixty-two housings from B-417 entered the supply chain.”

Olivia felt cold.

“Were they installed?”

Victor shook his head.

“Some are in inventory. Some were integrated into higher-level assemblies. We have no evidence of a failure in service.”

Richard seized that.

“Exactly.”

Victor did not blink.

“That does not make falsified inspection records acceptable.”

“No one falsified anything.”

Alexander looked toward Nina.

“Ms. Patel, Cole’s diligence team also found unusual payments to an entity called Raven Ridge Holdings.”

Nina’s face changed.

Richard noticed.

“What does that have to do with quality?”

“Twenty-one million dollars from the Stonebridge loan passed through Raven Ridge.”

Olivia stared.

“Who owns Raven Ridge?”

No one answered.

Marianne slid a corporate record onto the table.

“Richard Bennett.”

Olivia turned toward her father.

He rubbed his thumb against one cuff link.

“A holding company.”

“Why did Bennett Aeronautical lend your company twenty-one million dollars?”

“It was a treasury optimization.”

Alexander almost smiled.

“I’ve been doing this forty years. Don’t insult me with vocabulary.”

Richard’s face reddened.

Nina whispered, “Richard.”

He turned on her.

“Not now.”

That was when Olivia realized Nina knew more.

Alexander continued.

“Raven Ridge then paid sixteen point eight million dollars to Stonebridge under a separate personal facility.”

Richard looked at Marianne.

“Those are private records.”

“They became relevant when Bennett funds were transferred to your entity.”

Olivia struggled to keep up.

“You borrowed company money to repay your personal debt?”

Richard slammed his palm on the table.

“No.”

Everyone stopped.

He lowered his voice.

“Raven Ridge owns industrial property leased to Bennett. The payments were legitimate.”

Marianne pushed another page forward.

“Then explain this.”

Olivia read it.

A Stonebridge side letter.

If Bennett’s strategic investment with Cole closed, $31 million of transaction proceeds would be used to satisfy obligations of Raven Ridge Holdings.

Cole’s money was not merely going into Bennett.

Part of it was going toward Richard’s private debt.

Olivia looked at her father.

“You were using the deal to bail yourself out.”

Richard’s expression was almost wounded.

“I put everything I owned into this company.”

“That doesn’t mean the company owes everything back.”

Alexander closed the memorandum.

“Cole Industrial is suspending exclusivity.”

Richard went pale.

“If you suspend, Stonebridge can accelerate.”

Alexander paused.

That was new information.

“How quickly?”

Richard realized he had said too much.

Martin closed his eyes.

Olivia whispered, “Dad?”

Alexander said, “Your bridge loan has a transaction covenant.”

Nina finally spoke.

“Forty-five days.”

Richard turned toward her with open fury.

Nina continued.

“If the Cole transaction is not signed within forty-five days of the exclusivity date, Stonebridge can demand additional collateral or repayment.”

Olivia understood.

Richard was not negotiating from strength.

He was racing foreclosure.

Alexander stood.

“We are not investing until these issues are independently investigated.”

Richard rose too.

“You walk away now and you may destroy Bennett.”

“Then perhaps you should have disclosed the risks before asking me to finance them.”

Richard pointed toward Alexander.

“You want the company cheap.”

“No.”

“You sent your son.”

Alexander’s face hardened.

“My son did not bring me a single Bennett document.”

Richard laughed.

“Then why isn’t he here?”

Because Ethan knew Olivia needed space.

But Richard turned his absence into guilt.

“He’s hiding.”

Alexander stepped around the table.

“My son is at Northstar providing his firm’s records to independent counsel because he knows precisely what accusations men like you make when they run out of explanations.”

Richard went silent.

Then Nina’s phone buzzed.

She read the screen.

Her face drained.

“What?”

Olivia asked.

Nina looked at Richard.

“Stonebridge just sent a reservation-of-rights notice.”

Richard grabbed the phone.

His eyes moved across the email.

“What triggered it?”

Nina swallowed.

“Someone sent them the Caroline Trust document.”

Richard looked directly at Olivia.

She stared back.

“I didn’t.”

Richard’s voice dropped.

“Then Ethan did.”

May you like

At that exact moment, Ethan sat twelve miles away in Northstar’s conference room while federal aviation counsel copied his laptop.

And on the other side of Manhattan, someone Olivia had never met was already deleting the original B-417 inspection files.
