Chapter 16 - The Document She Never Saw

They found the document in Northstar’s subpoena production.
It was titled CONSENT AND RELEASE.
Six pages.
Dry legal language.
Dense enough to hide almost anything from someone reading under pressure.
Naomi read it slowly.
By signing, she would acknowledge that Mercer Air Holdings belonged to her.
She would accept responsibility for the $14.6 million transfer.
She would resign from Vale Meridian.
And most importantly, she would surrender all voting authority under Edward’s trust.
Naomi looked at Julia.
“They wanted me to confess.”
“Yes.”
“And transfer the trust vote.”
“Yes.”
“What happens to that vote?”
“Under the trust terms, if you resign or become legally unable to serve, authority passes temporarily to Marcus.”
Naomi leaned back.
That was the final mechanism.
Missing the Friday vote had never been enough.
Marcus could win one refinancing decision.
But Naomi would return with legal authority intact.
The consent solved that.
A signed confession made her politically toxic.
The trust transfer gave Marcus control permanently.
“How were they going to make me sign?”
Julia pointed to the clinic plan.
Naomi felt sick.
“They expected me to sign while being told Leo was threatened.”
“Possibly.”
“And if I refused?”
“We don’t know.”
Marcus did.
He requested another interview with Naomi present.
This time federal investigators led it.
Naomi could have stayed away.
She went.
Not for closure.
For accuracy.
Marcus sat across a long government conference table.
He looked older.
His attorney began with formal conditions.
Then Marcus spoke.
“Northstar never told me to create the psychiatric paperwork.”
“Who did?” an investigator asked.
“I did.”
Naomi felt the answer physically.
Caroline had participated.
But Marcus invented it.
“Why Costa Rica?”
“Samuel knew the facility.”
“Did the facility know this was fraudulent?”
“No. We submitted information saying Naomi had requested private admission because of anxiety and paranoia.”
Naomi stared at him.
“You forged my medical information.”
“Yes.”
“Were they going to force me to stay?”
Marcus shook his head.
“They couldn’t legally hold you just because I wanted them to.”
That matched what Julia had explained.
A private clinic could not simply imprison a competent adult.
“So how?”
Marcus looked ashamed.
“I was going to tell you there was an active threat against Leo and that returning immediately would endanger him.”
Naomi’s hands tightened.
“You knew I would stay voluntarily.”
“Yes.”
“And the document?”
“I was supposed to convince you signing it would protect Leo and separate you from the supposed financial threat.”
“Supposed?”
“There was no threat.”
“I know.”
Marcus closed his eyes.
Naomi continued.
“And if I read it?”
“I’d tell you the lawyers would fix it later.”
“Would you?”
“No.”
Silence.
The investigator asked about Elliot Vance.
Marcus admitted Vance knew Mercer Air was a sham.
Knew Naomi had not authorized transfers.
Knew the side letter had been concealed.
But Marcus insisted Vance never knew about the false psychiatric claims.
“He didn’t care how I got Naomi’s vote,” Marcus said. “He only cared that I got it.”
The investigator placed printed messages on the table.
“If she refuses to sign abroad, you know what Northstar needs instead.”
“What does that mean?”
Marcus looked toward Naomi.
“Evidence that you were responsible for Mercer.”
“What kind?”
“A recorded statement.”
“How?”
“I was supposed to get you talking about the account and edit it.”
Naomi stared.
Even at the end, another manufactured layer.
“Did you?”
“No.”
“Why not?”
“You found the passport.”
The simplest interruption.
Caroline’s act of panic had broken the plan before boarding.
Naomi thought about that.
If Caroline had followed through obediently, Naomi might have boarded.
She might have believed a threat against Leo.
She might have signed something in fear.
Not because she was weak.
Because Marcus knew exactly which fear to create.
The investigator continued.
“Did you intend to prevent Mrs. Vale from returning permanently?”
Marcus shook his head.
“No.”
Naomi spoke.
“Then why did you say I wouldn’t be able to come back under my real name?”
His face tightened.
“Because the plan required you to return publicly as Naomi Mercer first.”
“What?”
Marcus explained.
A photographer working with Samuel Dacre would document Naomi leaving the clinic under the alias.
Then a staged “discovery” would reveal her offshore identity.
Marcus intended to bring her back privately later and claim she had confessed to creating Mercer voluntarily.
“You thought I would cooperate after you destroyed my reputation?”
“I thought you’d protect Leo from scandal.”
Naomi almost laughed.
“You bet everything on me cleaning up your mess.”
“Yes.”
There it was.
Edward’s letter.
Caroline’s lifetime.
Marcus’s deepest assumption.
Rescue will arrive before consequence.
His wife would save the family.
His mother would save the company.
His father’s legacy would save his status.
Someone would always absorb the cost.
Naomi looked at him.
“I would have once.”
Marcus’s eyes lifted.
“Before the passport. Before Leo.”
She shook her head.
“Maybe even after the first missing money. I would have helped you tell the board. I would have helped restructure the debt. I would have stood beside you while people called you reckless.”
His eyes filled.
“But you never gave me the chance to help the real you. You created a version of me you could destroy instead.”
Marcus cried quietly.
Naomi did not comfort him.
It was the hardest thing she had ever done.
The interview continued for three hours.
Marcus identified documents.
Explained meetings.
Admitted access to Naomi’s email.
Confirmed Peter’s involvement.
Confirmed Caroline’s.
Confirmed Northstar’s knowledge of financial concealment.
When it ended, his attorney gathered the papers.
Marcus remained seated.
“Can I ask you something?”
Naomi hesitated.
“One.”
“Does Leo hate me?”
She thought carefully.
“No.”
Marcus looked almost relieved.
“That’s not the same as trusting you.”
His relief vanished.
“You’ll have to build that yourself.”
Naomi stood.
For once, she did not tell him how.
Outside, Julia joined her.
“You okay?”
“No.”
They walked toward the elevators.
Julia did not offer reassurance.
Naomi appreciated that.
At the lobby, David called.
Vale Meridian had received two final restructuring proposals.
One preserved most jobs.
One preserved the Vale family’s remaining equity.
They could not have both.
Naomi knew which Marcus would have chosen.
She also knew which Caroline once would have chosen.
Tomorrow, the board would ask Naomi.
Edward’s safeguard had given her enormous influence.

Now she had to decide what protecting the company actually meant.
