Chapter 9 - Thirty-One Million Dollars

Northstar gave Hartwell ten business days.

Pay $31 million.

Or face enforcement remedies under the junior debt agreement.

The company had cash.

But paying would cripple renovations and force layoffs.

Madeline sat with Nora, Daniel, Helen, and independent board chair Leonard Bishop.

“I want to buy the debt back.”

Leonard shook his head.

“Northstar refuses.”

“Then refinance it.”

“Senior lenders are nervous because of the federal investigation.”

Madeline looked at Daniel.

“What if I personally guarantee replacement financing?”

Helen immediately said, “No.”

Madeline turned.

“It’s my company.”

“It’s your home too.”

The Hartwell estate and most of Madeline’s family wealth were separate from operating assets.

A personal guarantee could put them at risk.

Madeline’s instinct was to save everything herself.

Nora recognized it.

“Don’t make a frightened decision because Evan created an artificial deadline.”

“Employees will suffer.”

“Yes.”

“So will suppliers.”

“Yes.”

“What do you want me to do?”

“Negotiate.”

“With Evan?”

“With Northstar’s counsel.”

Madeline’s expression hardened.

“They’re his.”

“Then make them put demands in writing.”

Northstar finally sent terms.

The default would be waived if Hartwell agreed to transfer ownership of two coastal properties valued at approximately $74 million.

In exchange for $31 million of debt.

“It’s robbery,” Helen said.

Daniel nodded.

“Exactly.”

Then Leonard noticed something.

The debt documents limited remedies.

Northstar could accelerate repayment.

But property transfers required independent valuation and board approval.

“Thomas drafted these amendments,” Leonard said.

Madeline looked at Nora.

“So Thomas gave Evan leverage, but not absolute control.”

“Maybe Thomas never intended Evan to have absolute control.”

Another fracture.

They pulled more emails.

A hidden pattern emerged.

Thomas and Evan had competing plans.

Evan wanted to marry Madeline, frame her, then use Northstar to extract assets.

Thomas wanted a broader corporate sale.

Rachel wanted money and Evan.

Nobody fully trusted anybody.

That was their weakness.

Madeline decided to use it.

She requested a private meeting with Thomas.

Nora hated the idea.

“Why give him access to you?”

“Because he hates Evan more than he hates me right now.”

“That is not an alliance.”

“It doesn’t have to be.”

Thomas arrived looking ten years older.

He was under internal investigation.

His accounts were being reviewed.

His authority suspended.

Madeline placed Northstar’s demand on the table.

“Evan is cutting you out.”

Thomas read it.

His expression remained neutral.

“He has rights as creditor.”

“He’s demanding property transfers that would make Northstar a fortune.”

“That was always possible.”

“No.”

Madeline leaned closer.

“You wanted a sale of the entire company.”

Thomas’s eyes flickered.

“You wanted fees, board influence, maybe a management role.”

Silence.

“Evan wants the best assets for himself.”

Thomas said nothing.

“So tell me where Northstar’s money came from.”

Thomas looked at Nora.

“This conversation is privileged?”

“No,” Nora said.

He almost smiled.

“At least you’re honest.”

Madeline waited.

Thomas finally said, “Not all of it was Evan’s.”

“Whose?”

“A private lender.”

“Name.”

Thomas looked at her.

“Graham Reed Family Trust.”

Madeline stared.

“Evan’s father is dead.”

“The trust isn’t.”

“How much?”

“Eighteen million.”

Madeline’s mind raced.

Graham Reed had attempted to target Hartwell years earlier.

His trust was now financing Evan’s second attempt.

“Who controls it?”

Thomas did not answer.

Nora said, “Evan?”

Thomas shook his head.

Madeline felt a new chill.

“Who?”

Thomas looked at Helen.

Helen’s face changed before he spoke.

That was enough.

Madeline turned toward her mother.

“Helen?”

Helen whispered, “I didn’t know.”

Thomas said, “The trustee is Caroline Reed.”

Madeline frowned.

Evan had told her his mother was dead.

“She died when he was twelve.”

Thomas looked almost pitying.

“No.”

The word stunned everyone.

Madeline stared.

“What?”

“Caroline Reed is alive.”

Helen gripped the table.

Thomas continued.

“She and Graham divorced privately. Evan was raised by his father.”

Madeline felt nauseated.

“Where is she?”

“Connecticut.”

“Why did Evan tell me she was dead?”

Thomas answered.

“Because Caroline knows why Graham spent the last years of his life trying to destroy Hartwell.”

Madeline leaned forward.

“Why?”

Thomas looked at Helen again.

This time Helen stood.

“No.”

Madeline turned.

“What?”

Helen’s face had gone gray.

Thomas said quietly, “Because Graham believed William Hart ruined him.”

May you like

And Helen whispered:

“He was right.”
