Chapter 5 - The Woman in Emerald

Serena requested a meeting.

Victoria refused.

Serena asked again through her attorney.

Caroline recommended accepting.

“Why should I listen to my husband’s mistress?”

“Because terrified insiders are often educational.”

They met in a private conference room at Caroline’s Manhattan firm.

Serena wore gray this time.

No emerald silk.

No cream coat.

No smile.

Her lawyer sat beside her.

Victoria remained across the table with Caroline and Daniel.

Serena began quietly.

“I didn’t know Adrian canceled your seat until this morning.”

Victoria laughed.

“You told me he said I’d never see the paperwork.”

“I knew about the paperwork.”

“Comforting distinction.”

Serena flinched.

Victoria felt a flash of satisfaction.

Then hated herself for enjoying it.

Caroline intervened.

“Ms. Vale, explain Nighthawk.”

Serena looked at her attorney.

He nodded.

“I joined the Hale family office two years ago. My background is private wealth structuring and governance.”

“You’re a lawyer?” Victoria asked.

“Nonpracticing. I left my firm.”

“You helped write those documents.”

“Some.”

“Did you write that I was mentally unstable?”

“No.”

“Who did?”

“Margaret.”

Victoria stared.

“Margaret is not a doctor.”

“She drafted a narrative. Outside counsel converted it into affidavit language.”

Daniel’s expression sharpened.

“Which outside counsel?”

Serena gave the name.

It was not Adrian’s current family lawyer.

Daniel wrote it down.

Serena continued.

“Nighthawk was originally a succession-continuity protocol. Henry’s trust amendment frightened Margaret. She believed Ethan’s voting block could eventually be influenced by you.”

“Because I’m his mother.”

“Because you had independent wealth and Henry trusted you.”

Victoria said nothing.

Serena looked down.

“After Hale Meridian’s acquisition of Westbridge Freight began failing last year, Adrian needed control of Ethan’s block.”

“Why?”

“To approve a recapitalization.”

“What recapitalization?”

Serena looked at Caroline.

“Strata Ridge Capital offered $180 million.”

Victoria knew the name.

Private equity.

Aggressive.

“If they invested,” Serena continued, “Adrian could cure the Westbridge debt covenant.”

“And?”

“They wanted preferred shares, board seats, and first rights over Hale Aviation if covenants failed again.”

Victoria’s stomach tightened.

“Hale Aviation is profitable.”

“Yes.”

“So Adrian was going to risk the healthy company to cover the bad acquisition.”

“Yes.”

“Did the board know?”

“Not the full terms.”

Victoria stared at her.

“Why did he need Ethan?”

“The transaction required seventy percent approval of Class F votes.”

Adrian and Margaret together could not reach it.

Ethan’s trust could.

But Stonebridge would never support such a transaction while Victoria objected as protector and joint parental representative.

Nighthawk solved both obstacles.

First, isolate Victoria.

Second, create a record of instability.

Third, seek emergency custody.

Fourth, challenge her fitness as trust protector.

Fifth, have Adrian submit a sole parental recommendation that Ethan’s trust support the recapitalization.

Victoria’s hands tightened.

“Why Geneva?”

“Strata Ridge’s European principals were meeting there.”

“So my son was going to sit in a hotel while Adrian used his custody of him to negotiate voting control.”

Serena looked ashamed.

“Essentially.”

“Why were you emergency caregiver?”

Serena went pale.

“Margaret insisted.”

“Why?”

“In case Adrian had to return for court.”

“You would keep Ethan in Switzerland?”

“I was told any guardianship document would be temporary.”

Victoria leaned forward.

“He is four years old.”

“I know.”

“No. You know his age. That isn’t the same thing.”

Serena’s eyes filled.

Victoria wanted to hate her cleanly.

Then Serena said, “I told Adrian we should stop this last week.”

“Because you developed a conscience?”

“Because Margaret changed the medical file.”

Daniel looked up.

“What changed?”

“She added a physician certification.”

Victoria stopped breathing.

“What physician?”

“Dr. Lewis Caldwell.”

“Have I ever met him?”

“No.”

“Then how could he certify anything about me?”

Serena whispered, “That’s why I wanted out.”

Caroline’s voice became hard.

“Did Dr. Caldwell sign it?”

“I don’t know.”

“Was a signature present?”

“Yes.”

Daniel leaned back slowly.

A potentially false medical certification changed the legal stakes.

Serena continued.

“Yesterday Margaret told Adrian that once Ethan was in Geneva, the legal filings would begin in New Jersey. She believed practical possession mattered.”

Daniel said, “It does not create jurisdiction.”

“I know.”

“But it creates pressure.”

Serena nodded.

Victoria remembered the cash tossed onto her suitcase.

Take a cab home.

They had expected her to discover the betrayal only after Adrian and Ethan were airborne.

“Why did Adrian add me to the flight two days ago?”

Serena looked uncomfortable.

“He got scared.”

“Of his mother?”

“Of what he was doing.”

Victoria’s heart beat harder.

“He was going to take me?”

“Yes.”

“Then why cancel me?”

Serena swallowed.

“Margaret found out.”

Victoria felt cold.

“Adrian canceled me because Margaret ordered him to?”

“No.”

Serena met her eyes.

“That part was Adrian.”

“Why?”

Serena glanced at her lawyer.

Then said, “Because you found my earrings in his bedroom.”

Victoria’s throat closed.

Three nights earlier.

Small diamond earrings beneath Adrian’s side table.

He had claimed they belonged to Margaret after a family dinner.

Victoria had pretended to believe him.

Adrian realized she knew.

The marriage was over anyway.

So he chose Nighthawk.

Serena whispered, “Once he thought you were going to leave him, he decided he had nothing left to protect except the company.”

Victoria stared at her.

“No.”

She stood.

“He had Ethan.”

May you like

Serena lowered her eyes.

Exactly.
