Chapter 3 - The Railroad Claire Inherited

Claire did not sleep.

At 1:10 A.M., The Whitmore pulled into a secured private platform beneath Manhattan’s Grand Central district.

State investigators boarded before any passenger left.

Richard was escorted away for formal questioning.

His attorney protested loudly.

Richard himself remained calm.

As he passed Claire, he said, “You’re making the biggest mistake of your life.”

Claire answered, “That sentence worked better before you locked me in a room.”

He smiled faintly.

“You still think I’m the dangerous one.”

Then he was gone.

Bennett disliked the remark.

So did Claire.

By 2:00 A.M., she was in Whitmore Rail Holdings’ Manhattan headquarters with Bennett, Officer Lewis, Maya, and the company’s independent board chair, Eleanor Pierce.

Noah slept in Claire’s office with his head on Maya’s coat.

Claire stood before a wall displaying four generations of Whitmore railroad history.

Her great-grandfather had begun with a forty-mile freight line serving steel mills in Pennsylvania.

Her grandfather expanded south.

Her father, Thomas, bought intermodal terminals and revived the family’s heritage passenger business.

Claire inherited control at thirty-seven.

Now, at forty-one, she managed one of the largest privately controlled regional rail systems in the Northeast.

Richard had entered the story four years earlier.

Sophisticated.

Patient.

Never intimidated by her money.

That had been part of his appeal.

Noah’s biological father, Evan Brooks, had died from leukemia when Noah was three.

Claire had spent two years believing she would never remarry.

Then Richard appeared.

He was a restructuring consultant hired during a difficult refinancing.

He understood debt.

Banks.

Boards.

And grief.

Claire now wondered which subject he had studied most carefully.

Eleanor Pierce closed the conference-room doors.

“We need to discuss tomorrow’s vote.”

“Cancel it,” Claire said.

“I can delay a board session. The shareholder meeting is different.”

“I own fifty-four percent.”

“Assuming your voting rights are undisputed.”

Claire stared.

Bennett placed the Ridgeway agreement on the table.

Eleanor’s face tightened.

“This is why?”

“Yes.”

Eleanor looked at Claire.

“Did you sign any delegation agreement with Richard?”

“No.”

“Any marital property management agreement?”

“No.”

“Any personal guarantee?”

“No.”

“Any power of attorney?”

Claire stopped.

Bennett noticed.

“Claire?”

“Two years ago.”

The room changed.

“It was limited,” Claire said quickly. “During surgery.”

After discovering a benign but complicated ovarian mass, Claire had undergone an operation requiring several weeks’ recovery.

She had signed a temporary power of attorney allowing Richard to manage household bills and certain personal banking matters.

Bennett looked alarmed.

“Who drafted it?”

“Richard’s attorney.”

“Did you revoke it?”

“It expired after sixty days.”

“Do you have the document?”

“Not here.”

Bennett rubbed his forehead.

“If someone altered a copy or presented it without the expiration page…”

Claire understood.

Paper did not have to be perfect.

It only had to survive long enough to create confusion.

Eleanor opened the shareholder notice.

“The Continental transaction is structured in two stages. First, Ridgeway acquires enough minority shares to reach twenty-one percent. Second, Ridgeway votes those shares together with your alleged proxy.”

“To approve Continental.”

“Yes.”

“What does Richard receive?”

“We don’t know.”

“Find out.”

The door opened.

Whitmore Rail’s CFO entered.

Martin Cross.

Fifty-three.

With the company nineteen years.

He had worked for Claire’s father.

He looked devastated.

“Claire, thank God.”

He hugged her.

Claire stiffened.

Martin stepped back.

“I heard what happened.”

“How?”

“Richard called me before police took his phone.”

Of course he had.

Martin looked at the documents.

“This is insane.”

Claire watched him.

“You knew about the special meeting.”

He hesitated.

“Board leadership knew.”

“I’m board leadership.”

“Richard said you requested confidentiality.”

Claire’s stomach tightened.

“He told you that?”

“Yes.”

“And you never called me?”

“He showed me an acknowledgment from your account.”

Claire felt anger rising.

“How long have you worked for my family?”

“Nineteen years.”

“And one email from my husband was enough to make you stop asking questions?”

Martin’s face hardened.

“That’s unfair.”

“Then explain.”

“The company is under pressure.”

“What pressure?”

He glanced at Eleanor.

She looked surprised.

Martin continued.

“Two lenders have raised covenant concerns.”

Claire stared.

“What covenant concerns?”

“Freight revenue is down. Fuel hedges moved against us. Terminal expansion costs exceeded projections.”

“How much?”

Martin did not answer quickly enough.

“Martin.”

“Potentially forty-eight million in liquidity need over the next six months.”

Claire felt physically cold.

“You told me twelve.”

“That was before revised forecasts.”

“When were those revised?”

“Last week.”

“While Richard was preparing this takeover.”

Martin snapped, “Not everything is Richard.”

Silence.

Claire studied him.

It was the first defensive thing he had said.

Bennett asked, “Who controls the forecasting models?”

Martin looked at him.

“Finance.”

“You?”

“Yes.”

Noah stirred in the office beyond the glass wall.

Claire lowered her voice.

“Did you know Ridgeway was borrowing eighty million?”

“No.”

“Did you know Richard intended to use my shares as security?”

“No.”

“Did you know my corporate credentials were accessed?”

“No.”

Every answer came cleanly.

Too cleanly.

Then Officer Lewis placed a tablet on the table.

“We pulled additional footage from the train.”

Martin frowned.

“What footage?”

Lewis played a recording from the previous evening.

Richard entered the rear service vestibule at 8:12 P.M.

Another man was waiting there.

The camera captured only the back of his head at first.

Then he turned.

Martin Cross.

Claire looked up.

Martin’s face changed.

May you like

He had told her Richard called him after police intervened.

The footage proved they had met on the train hours earlier.
