Chapter 11 - The Breakdown They Needed

Maya found the power of attorney within twenty-four hours.
Not an original.
A scanned copy attached to a draft email in Caleb’s executive archive.
Durable Power of Attorney — Daniel Mercer
Agent: Caleb Rusk.
Alternate agent: Rebecca Sloan, upon marriage to Daniel Mercer.
Daniel’s signature appeared at the bottom.
The notary seal belonged to a Manhattan notary named Elise Benton.
Daniel had never met her.
Maya spoke carefully.
“A durable power of attorney does not automatically give them corporate voting rights in every circumstance, and institutions can challenge it. But if nobody suspects forgery, it can create enormous confusion.”
“They intended to use confusion.”
“Yes.”
The date was two months earlier.
Daniel checked his calendar.
He had been in California.
The notary journal became critical.
Elise Benton initially refused to speak.
Then police obtained records through proper process.
Her journal claimed Daniel appeared before her in Manhattan at 3:40 P.M.
Credit-card, airline, and hotel records placed him in San Francisco.
The notarization was impossible.
Elise retained counsel.
Caleb stopped answering Daniel’s calls.
The board acted.
Not against Caleb.
Against both men.
Chairman Ellis announced that Caleb and Daniel would each surrender operational authority temporarily while the independent investigation proceeded.
Daniel stared at him.
“You’re suspending me?”
“You are not accused of fraud.”
“Then why?”
“Because this company cannot survive a war between its CEO and CFO while lenders are demanding answers.”
Caleb smiled faintly.
That was enough to make Daniel understand.
Caleb had prepared for shared destruction.
If he could not control Daniel, he would make the company distrust everyone.
Caroline Mercer, Daniel’s younger sister and a longtime board member, became interim executive chair.
After the meeting she found Daniel alone.
“You’re angry.”
“I founded this company.”
“So did Claire.”
He looked at her sharply.
Caroline did not retreat.
“You forgot that sometimes.”
Daniel looked away.
She continued.
“And now the board is doing what you should have done when Claire questioned Caleb.”
“Investigating.”
“Yes.”
The truth hurt.
Caroline added, “You want everyone to believe evidence when it helps you. You ignored it when it came from Claire.”
Daniel sat silently.
“I know.”
“That does not mean Caleb wins.”
“No.”
“It means you stop demanding immunity from your own mistakes.”
That evening Emily overheard him telling Maya he had lost authority at Mercer Development.
“Did they fire you?”
“Not exactly.”
“Is it because of me?”
Daniel turned instantly.
“No.”
“Because you stopped the wedding?”
“No.”
“Rebecca said you’d lose everything if you chose me.”
His body went cold.
“When did she say that?”
“The morning of the wedding.”
Daniel crouched.
“What exactly?”
Emily thought.
“She said, ‘Your daddy has to choose his future today. Don’t make him choose you.’”
Daniel closed his eyes.
Rebecca had tried to make his daughter believe she was a burden on his future.
He pulled Emily close.
“I did choose.”
She whispered, “Me?”
“Yes.”
“What about your company?”
“If I have to rebuild it, I rebuild it.”
“What about the wedding?”
“It was a party.”
She leaned back.
“You spent a lot on the party.”
Daniel almost laughed.
“Yes.”
“How much?”
“Too much.”
“More than my bike?”
“Considerably.”
She smiled for the first time in days.
Then the doorbell rang.
Maya entered carrying a hard drive.
“We found Rebecca’s recordings.”
There were eighty-three.
Arguments in Daniel’s kitchen.
His study.
His car.
One from the night he confronted her about disciplining Emily too harshly.
Rebecca repeatedly said things like, “You’re scaring me.”
Daniel’s voice was loud.
Angry.
But he never threatened her.
Then Maya played one recording backward from its export history.
A segment had been cut.
The original file contained Rebecca whispering before Daniel entered:
“Caleb says this one needs to sound worse.”
Daniel stared at the waveform.
They had been collecting material for his “breakdown.”
Then Maya opened the final recovered file.
Rebecca and Caleb were speaking alone.
Rebecca said, “What if Daniel doesn’t panic when Emily disappears?”
Caleb answered:
“He will.”
“And if he doesn’t?”
A pause.
“Then make him believe she blames him.”
Daniel’s face hardened.
May you like
Caleb had not merely planned to steal control.
He had planned to weaponize the one person Daniel loved enough to lose control over.
