Chapter 17 - The Vote That Never Happened

The shareholder meeting began without Emily.

Michael stood before the board in Mercer Hospitality’s largest conference room.

Thomas Reed sat beside him despite having resigned as chair.

Argent Peak’s lawyers lined one wall.

Michael held the disputed proxy.

“We have authority to proceed,” he said.

Helen Price stood.

“No, you have a piece of paper your wife says you forged.”

Michael did not look at her.

“Counsel has advised that the proxy remains facially valid.”

Victor Lang was not present.

His new criminal attorney had apparently advised him to stop attending meetings where people committed felonies.

At 2:57, Michael called the vote.

At 2:58, the conference-room doors opened.

Emily entered with Nora.

Two process servers followed.

Michael’s expression changed.

Nora handed documents to Argent Peak’s lead attorney.

“Order to show cause and temporary restraining order issued by Justice Kaplan three minutes ago.”

The attorney read quickly.

Thomas stood.

“On what basis?”

Emily looked at him.

“Audio.”

Michael went still.

Nora continued.

“The court has enjoined any vote, transfer, pledge, merger approval, or other action relying on the disputed proxy pending a full evidentiary hearing.”

Argent Peak’s attorney closed his folder.

“We’re suspending participation.”

Michael turned.

“You can’t walk out.”

“We can.”

“The proxy is valid.”

“That is now a judge’s problem.”

Within thirty seconds, the private-equity team left.

Thomas looked at Michael with naked fury.

“You said this was controlled.”

Michael snapped, “It was until Vanessa lost her mind.”

Emily laughed once.

Every head turned.

Michael looked at her.

“What?”

“You still think Vanessa ruined this.”

“She did.”

“No.”

Emily stepped forward.

“Sophie did.”

Michael’s face changed.

“She told the truth.”

He glanced at the directors.

“This is a family spectacle.”

Helen stood.

“No. It became a corporate fraud when you stole company money.”

Michael pointed at Emily.

“She approved Blackridge invoices.”

Emily nodded.

“Six of them.”

The room quieted.

Michael hadn’t expected that.

“I approved six because I failed to scrutinize them. The rest were authorized using a cloned authentication device created at your direction.”

“That’s false.”

Daniel entered.

“No, it isn’t.”

Michael turned.

Daniel placed a forensic report on the table.

“We matched the device fingerprint to a phone purchased by VSC Holdings.”

Vanessa’s company.

“And administrator enrollment records were initiated by Eric Talbot from a request originating with Thomas Reed.”

Thomas stood.

“I never authorized fraud.”

Helen slid the side agreement across the table.

“Then perhaps you’d like to explain your eight-million-dollar friend.”

Thomas went white.

Michael looked at him.

For the first time, their alliance visibly fractured.

Thomas pointed at Michael.

“This was your structure.”

Michael stared.

“You signed it.”

“You designed it.”

“You wanted the acquisition.”

“You came to me!”

The directors watched in silence.

The conspiracy was collapsing in real time.

At 3:18, Helen moved to suspend Michael as CFO and terminate his authority over company accounts.

The vote was unanimous.

Even directors who had opposed Emily voted yes.

Michael stood at the table.

“You cannot do this.”

Helen met his eyes.

“We just did.”

He looked toward Emily.

“You think you won?”

“No.”

“Your father’s company is bleeding.”

“I know.”

“Employees are losing jobs.”

“I know.”

“Your reputation is destroyed.”

“Maybe.”

“And Sophie has to live with what you turned this into.”

That almost hit.

Almost.

Then Emily remembered the audio.

“I turned this into an investigation.”

She stepped closer.

“You turned our daughter into leverage.”

The doors opened again.

Detective Bennett entered with two investigators.

“Michael Mercer?”

No one moved.

Michael’s face became empty.

Bennett approached.

“You are being taken into custody on charges including grand larceny, falsifying business records, conspiracy, and endangering the welfare of a child. Additional charges may follow.”

Thomas whispered, “Jesus.”

Bennett looked at him.

“Mr. Reed, investigators would also like to speak with you.”

Thomas sat down.

Michael looked at Emily as Bennett placed him in handcuffs.

“You planned this.”

Emily stared at him.

“No.”

She glanced toward the empty chair where Sophie sometimes sat during family office visits.

“You did.”

As officers led him away, Michael stopped beside her.

His voice dropped.

“She’ll hate you for putting me in prison.”

Emily looked into the face of the man she had loved for twelve years.

“No.”

May you like

Her voice was quiet.

“She’ll know I didn’t stand there and do nothing.”
